Terms and Conditions

Bookkeeping Services

These terms describe our bookkeeping service policies. Visiting this website or submitting an inquiry does not establish a client relationship. The scope of services and applicable fees will be established in a separate written engagement. These terms apply to that engagement when incorporated into the agreement accepted by both parties.

These Terms and Conditions govern the bookkeeping services provided by Remshak Consulting LLC (“Bookkeeper”) to a client who engages its services (“Client”). By engaging the Bookkeeper’s services, the Client agrees to the following terms.

1. Scope of Services

The Bookkeeper will provide the bookkeeping and related financial services agreed upon by both parties. Services may include:

  • Recording and categorizing financial transactions.
  • Bank and credit card account reconciliations.
  • Accounts payable and accounts receivable tracking.
  • Financial statement preparation, including profit and loss statements and balance sheets.
  • QuickBooks Online setup, maintenance, and support.
  • Monthly, quarterly, or other agreed-upon financial reporting.
  • Other services specifically agreed upon in writing.

Services are limited to the scope agreed upon by both parties. Additional services, projects, cleanup work, historical bookkeeping, or requests outside the agreed scope may incur additional fees.

2. Client Responsibilities

The Client agrees to:

  • Provide complete, accurate, and timely financial records, receipts, invoices, bank statements, and other necessary documentation.
  • Provide access to the accounting software, financial accounts, and records required to perform the services.
  • Review financial reports and notify the Bookkeeper of any discrepancies or concerns.
  • Maintain responsibility for business transactions, financial decisions, and the accuracy and completeness of information provided.
  • Notify the Bookkeeper promptly of changes in business operations, financial accounts, ownership, or other matters that may affect bookkeeping services.

The Bookkeeper is entitled to rely on information provided by the Client and is not responsible for errors or omissions resulting from incomplete, inaccurate, misleading, or untimely information.

3. Fees and Payment Terms

Fees will be established in writing before services begin. Fees may be structured as a monthly fee, hourly rate, weekly fee, project fee, or another mutually agreed-upon arrangement.

  • Invoices are due within 15 days of the invoice date unless otherwise agreed in writing.
  • Additional services outside the agreed scope may be billed separately.
  • Late payments may be subject to a reasonable late fee or interest charge to the extent permitted by applicable law.
  • The Bookkeeper reserves the right to suspend services for overdue balances after providing reasonable written notice.
  • The Client remains responsible for fees incurred through the effective date of any suspension or termination.

4. Records and Financial Reporting

The Bookkeeper will use reasonable professional care when performing the agreed-upon services. Financial reports are prepared using the records and information provided by the Client.

The Client acknowledges that bookkeeping reports are based on the information available at the time of preparation. The Bookkeeper does not guarantee that financial reports will identify every error, fraud, irregularity, or financial risk.

The Client is responsible for reviewing reports and determining whether they meet the needs of the business.

5. Tax and Professional Services

Unless specifically agreed upon in a separate written engagement, bookkeeping services do not include:

  • Preparation or filing of income tax returns.
  • Legal advice or legal representation.
  • Audits, reviews, attestations, or independent verification of financial statements.
  • Tax planning, tax representation, or assurance of tax compliance.
  • Business valuation, investment advice, or financial guarantees.

The Client remains responsible for tax filings, tax payments, regulatory compliance, and business decisions. The Client should consult a qualified tax professional, certified public accountant, attorney, or other appropriate professional when necessary.

6. Confidentiality

The Bookkeeper will treat the Client’s financial information, business records, and other nonpublic information as confidential and will not disclose such information to unauthorized parties except as necessary to provide the agreed-upon services, with the Client’s authorization, or as required by law.

The Bookkeeper will use reasonable safeguards to protect confidential information. The Client acknowledges that electronic communications, cloud-based accounting software, and online file-sharing systems involve certain risks despite reasonable security measures.

7. Data Security and Account Access

The Client authorizes the Bookkeeper to access the financial records, accounting software, and other systems reasonably necessary to perform the agreed-upon services.

Both parties agree to take reasonable precautions to protect login credentials, financial information, and sensitive business data. The Client should provide individual user access whenever available rather than sharing personal banking credentials.

The Client is responsible for maintaining appropriate access to its financial accounts and promptly notifying the Bookkeeper of suspected unauthorized access or security concerns.

8. No Guarantee of Financial Results

The Bookkeeper does not guarantee any particular financial outcome, profitability level, tax savings, business performance, or lending approval.

Bookkeeping services are administrative and recordkeeping services and are not a substitute for management oversight, independent audits, or professional advice outside the agreed scope.

9. Limitation of Responsibility

The Bookkeeper will perform services with reasonable care and in accordance with the agreed scope of work. To the extent permitted by applicable law, the Bookkeeper will not be responsible for losses arising from inaccurate information supplied by the Client, the Client’s failure to review reports, unauthorized transactions, third-party software outages, or circumstances outside the Bookkeeper’s reasonable control.

Nothing in these Terms and Conditions excludes or limits liability where such exclusion or limitation is prohibited by law.

Any additional limitation of liability must be agreed upon in writing and be enforceable under applicable law.

10. Term and Termination

Either party may terminate the bookkeeping relationship by providing 30 days’ written notice, unless otherwise agreed in writing.

The Bookkeeper may suspend or terminate services sooner when permitted by law if the Client fails to pay outstanding invoices, fails to provide necessary records, requests unlawful activity, or materially breaches this Agreement. Reasonable notice will be provided when appropriate.

Upon termination:

  • The Client must pay all outstanding fees for services performed through the termination date.
  • The Bookkeeper will provide agreed-upon work product and available Client records, subject to payment obligations and applicable law.
  • The Client is responsible for arranging continued bookkeeping services and ensuring ongoing financial and tax compliance.

11. Third-Party Software and Services

The Bookkeeper may use third-party platforms, including QuickBooks Online, secure file-sharing systems, and other accounting tools, to perform services.

The Bookkeeper is not responsible for third-party service interruptions, software changes, subscription fees, or platform failures outside the Bookkeeper’s reasonable control. The Client remains responsible for maintaining its own software subscriptions and business accounts unless otherwise agreed in writing.

12. Independent Contractor Relationship

The Bookkeeper operates as an independent service provider. Nothing in this Agreement creates an employer-employee relationship, partnership, joint venture, or agency relationship beyond the limited authorization necessary to perform the agreed services.

The Bookkeeper is not authorized to enter into contracts, incur debts, or make financial commitments on behalf of the Client without specific written authorization.

13. Changes to Services and Terms

Any changes to the scope of services, pricing, payment arrangements, or other material terms must be agreed upon in writing by both parties.

Written confirmation by email may be used to document mutually agreed changes to the services or fees.

14. Dispute Resolution and Governing Law

The parties agree to make reasonable efforts to resolve disputes through good-faith discussions before pursuing formal legal action.

This Agreement will be governed by the laws of the State of Wisconsin, without regard to its conflict-of-law rules, subject to applicable federal law.

Any court proceedings will be brought in a court of competent jurisdiction as permitted by applicable law.

15. Entire Agreement

These Terms and Conditions, together with any written proposal, engagement letter, or service schedule agreed upon by the parties, constitute the entire agreement concerning the bookkeeping services covered by those documents.

If a provision of this Agreement is found unenforceable, the remaining provisions will remain in effect to the extent permitted by law.
